Welcome to Synchroni. These Terms of Service ("Terms") govern your access to and use of the Synchroni platform, products, and services. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. Please read these Terms carefully before using the Platform.

In these Terms of Service, the following definitions apply:
"Synchroni," "we," "us," or "our" refers to Synchroni Technologies Private Limited and its subsidiaries.
"Platform" refers to all Synchroni products, services, and applications, including but not limited to SkillSynQ, SkillSynQ, and associated AI tools.
"User," "you," or "your" refers to any individual or entity accessing or using the Platform.
"Content" refers to any text, data, information, graphics, or materials uploaded, submitted, or transmitted through the Platform.
"Services" refers to all features, functionalities, and offerings provided through the Platform.
2. Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Platform.
Your continued use of the Platform following any modifications to these Terms constitutes acceptance of the revised Terms.
3. Eligibility
To use the Platform, you must:

Nothing in these Terms grants you any right, title, or interest in our intellectual property except as expressly stated herein.
You may not copy, modify, distribute, sell, or lease any part of the Platform or its underlying technology without our prior written consent.
7. Content Ownership & License
You retain ownership of any Content you submit to the Platform.
By submitting Content, you grant Synchroni a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content solely for the purpose of providing and improving the Services.
You represent and warrant that you have all necessary rights to submit the Content and that it does not infringe upon any third-party rights.
8. Data & Privacy
Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.
By using the Platform, you consent to the collection and use of your data as described in our Privacy Policy.
We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security.
9. Subscription, Payment & Billing
Certain features of the Platform may require a paid subscription.
By subscribing to a paid plan, you agree to:
• Pay all applicable fees as specified at the time of purchase
• Provide accurate billing information
• Authorize us to charge your designated payment method
Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods unless otherwise specified.
We reserve the right to modify pricing with reasonable notice to subscribers.

You agree not to engage in any of the following prohibited activities:
• Violating any applicable laws, regulations, or third-party rights
• Uploading malicious code, viruses, or harmful software

• Engaging in fraudulent or deceptive practices

• Using the Platform for unauthorized commercial purposes

11. Service Availability & Updates
We strive to provide reliable access to the Platform but do not guarantee uninterrupted availability.
The Platform may be temporarily unavailable due to:
• Scheduled maintenance or updates
• Technical difficulties or system failures
• Circumstances beyond our reasonable control
We may modify, update, or discontinue features of the Platform at any time with or without notice.
12. Third-Party Services
The Platform may integrate with or contain links to third-party services, websites, or applications.
We do not control or endorse third-party services and are not responsible for their content, privacy practices, or terms of use.
Your use of third-party services is at your own risk and subject to their respective terms and policies.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
Synchroni shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Synchroni, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content submitted to the Platform
15. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice.
Upon termination:
• Your right to use the Platform will cease immediately
• We may delete your account and associated data
• Provisions that by their nature should survive termination shall remain in effect
You may terminate your account at any time by contacting us or using the account settings.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
17. Dispute Resolution
Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@synchroni.ai.
If the dispute cannot be resolved informally within thirty (30) days, either party may proceed with formal dispute resolution as provided in these Terms.
You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Synchroni.
18. Modifications to Terms
We reserve the right to modify these Terms at any time.
When we make material changes, we will:
• Update the "Last updated" date at the top of this page
• Notify users through email or prominent notice on the Platform
Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
